The Manager will receive from the Company a management fee of 2.5% p.a. of the total assets less adjusted current liabilities of the Company. The Manager will be entitled to receive a performance fee equal to 20% of the amount by which the increase in the adjusted net asset value since Admission exceeds the hurdle amount. For the purposes of the performance fee, the adjusted NAV is the NAV of the Company at the relevant date plus any distributions made to shareholders in the period since Admission and the hurdle amount is an amount equal to simple interest at a rate of 6% p.a. on the paid up share capital of the Company from time to time. The performance fee will be payable annually and in certain other circumstances, including on final realisation of the investments in a winding up, with any cumulative shortfalls below the hurdle amount having to be made up in later years before any performance fee is payable.

Maven is entitled to a performance incentive fee, in respect of each six month period ending 30 June and 31 December, of an amount equal to 20% of any increase in the total return (before applying any performance incentive fee) as at the end of the relevant six month period to the total return (after accruing for the performance incentive fee payable for that period) compared to the end of the last six month period on which a performance incentive fee was paid.
