Management agreement
Under the Investment Management Agreement, the AIFM is entitled to a management fee of 1.25% p.a. of Net Asset Value up to GBP 300m and 1% p.a. of Net Asset Value above GBP 300m, payable quarterly in advance. It is also entitled to a performance fee of 15% over an 8% hurdle with full catch-up, calculated on NAV annually. The Investment Management Agreement may be terminated on 12 months’ written notice, such notice to expire on or at any time after the third anniversary of Initial Admission.
