Management agreement
The Investment Manager is entitled to an annual management fee of 1.25% of the NAV. The performance fee will be earned if the compounded rate of return of NAV per ordinary share exceeds 8% on an annual basis. The performance fee equals 20% p.a. of the product of the time weighted average number of Ordinary Shares in issue and balance of initial NAV per ordinary share, minus final NAV per ordinary share during the Performance Allocation Period.
