Management agreement
As set out in the heads of terms signed by the Company and Baillie Gifford, Baillie Gifford will be paid an annual management fee of 0.55% p.a. of the lower of the Company's market capitalisation and the Company's net asset value (which shall include income), in either case up to GBP 500m; and 0.5%p.a. of the amount of the lower of the Company's market capitalisation or net asset value above GBP 500m. The IMA is terminable on not less than three months' notice or on shorter notice in certain circumstances.
