In the event that the Company’s NAV is not equal to or greater than GBP250m on the third anniversary of Initial Admission, The Directors will propose a special resolution that the Company shall cease to continue as presently constituted (a Discontinuation Resolution) at the annual general meeting of the Company held following the third anniversary of Initial Admission. In addition, and subject to a prior Discontinuation Resolution not having been proposed and passed, the Directors will propose an ordinary resolution at the annual general meeting to be held following the sixth anniversary of Initial Admission and at every third annual general meeting thereafter that the Company should continue as presently constituted (a Continuation Resolution). In the event that a Discontinuation Resolution is passed or a Continuation Resolution is not passed, the Directors will be required to formulate proposals for the voluntary liquidation, unitisation, reorganisation or reconstruction of the Company for consideration by Shareholders at a general meeting to be convened by the Board for a date note more than six months after the date of the annual general meeting at which such Discontinuation Resolution or Continuation Resolution was proposed.
