Management agreement
Pursuant to the terms of the Investment Management Agreement, the Investment Manager is entitled to receive a annual management fee on the following basis: On such part of the NAV that is up to and including GBP 650m, 0.9%; On such part of the NAV that is above GBP 650m, 0.8%. The Annual Management Fee is calculated and accrues monthly and shall be invoiced monthly in arrears. There is no performance fee payable to the Investment Manager. The Agreement may be terminated by either the Company or the Investment Manager on not less than 12 months’ notice to the other party, such notice not to be served before the fourth anniversary of the date of Initial Admission.
