Management agreement
The Investment Manager is entitled to a management fee calculated at the rate of: a) 0.875% of the prevailing NAV in the event that the prevailing NAV is up to or equal to GBP 250m; or b) 0.8% of the prevailing NAV in the event that the prevailing NAV is above GBP 250m but less than GBP 500m; or c) 0.75% of the prevailing NAV in the event that the prevailing NAV is above GBP 500m. There is no performance fee payable to the Investment Manager. The Investment Manager is appointed under a contract subject to notice of 12 months with such notice not to expire prior to the third anniversary of first admission of the Ordinary Shares to trading on the London Stock Exchange.
