Management agreement
The Portfolio Manager is entitled to receive a management fee payable monthly in arrears at a rate of one-twelfth of 0.75% of NAV. A performance fee equal to 15% of the amount by which the NAV outperforms the total return on the benchmark (Numis Smaller Companies plus AIM Index) will be payable to the Portfolio Manager.

Portfolio Manage will receive a performance fee equal to 15% of the amount by which the NAV of the company outperforms the total return on the Benchmark. This means that if the company has underperformed the Benchmark at the point of any exercise of the Redemption Mechanism, no performance fee would be payable and any underperformance must be made good before a performance fee can be paid to the Portfolio Manager on any future exercise of the Redemption Mechanism.
