Management agreement
The agreement is terminable on 12 months written notice. The management fee is based upon an annual amount of 2.0% of the NAV. It subjects to a cap at 3.6% of the NAV. The performance fee will be equal to 20% of the amount by which each such Respective Oer Performance Value exceeds the relevant Respective Oer Initial NAV per Share, less the aggregate amount of any performance fee per Respective Oer Share already paid in respect of that Respective Oer for nancial years.
