Management agreement
The Portfolio Manager is entitled to receive an annual management fee equal to the lower of: (i) 1.0% p.a. of the NAV; (ii) 1% p.a. of the market cap of the company. The annual management fee is calculated and accrues daily and is payable quarterly in arrears. The Portfolio Manager will be entitled to 10% of the Excess Amount multiplied by the time weighted average number of Ord in issue during the relevant performance period to which the calculation date relates. The performance fee will accrue daily. The investment management agreement is for an initial term of 12 months, terminable by giving not less than 6 months notice.
