Management agreement
The Manager will be entitled to receive an annual fee, accruing daily and calculated on a sliding scale, as following: 1) for the tranche of NAV up to and including GBP 200m, 1%; 2) for the tranche of NAV above GBP 200m and up to and including GBP 300m, 0.9%; 3) for the tranche of NAV above GBP 300m, 0.8%. The Manager’s Fee will be prima facie payable by the Company, but may be paid by the members of the Group (to reflect the extent to which the services provided by the Manager are provided to the relevant member of the Group) should the Company so determine. It is expected that the majority of the Manager’s fees will be borne by the Company. Contract terminable on notice period of 12 months.
