Issue of Equity
On 14 September 2023 The Law Debenture Corporation p.l.c. (the "Corporation") issued 125,000 new ordinary shares of 5 pence each at a price of (1) £8.18 per share for 25,000 shares (2) £8.205 per share for 25,000 shares (3) £8.21 per share for 25,000 shares and (4) £8.22 per share for 50,000 shares under its block listing facility; these shares rank pari passu with the existing ordinary shares in issue. The issue price equates to a premium to the net asset value per share at the time of the relevant transactions. Following the issuances, the Corporation has the ability to admit a further 12,650,000 ordinary shares under its block listing facility.
As a result of the issuances, the total number of ordinary shares in issue now stands at 130,935,549 and the total number of voting rights in the Corporation is 130,935,549. There are no shares held in treasury.
The above figure of 130,935,549 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Corporation under the FCA's Disclosure Guidance and Transparency Rules.
