Management agreement
The Investment Manager is entitled to an annual management fee of GBP 95,000 together with reimbursement of all costs and expenses properly incurred by it in the performance of its duties, save that any individual item or expense in excess of GBP 100 (or any individual travel expense in excess of GBP 5,000) shall be subject to the prior approval of the Investment Adviser. The advisory fee is 1% p.a. of the Company's NAV up to GBP 500m and 0.70% thereafter, payable quarterly. The Investment Management Agreement may be terminated by either party on six months notice, such notice not to be served before the date being six months from the date of admission, and may be immediately terminated by either party in certain circumstances such as a material breach which is not remedied.
