Management agreement
The Management Fee shall be accrued daily and calculated on each Business Day at a rate equivalent to 0.85% of NAV p.a.. Contract terminable no less than 3 months notice. The performance fee will be a sum equal to 20% of Adjusted NAV and will only be payable if the Adjusted NAV at the end of a Calculation Period does not exceed 3% of the Average NAV.

Performance fee calculated by reference to the movements in the Adjusted NAV since the end of the Calculation Period in respect of which a performance fee was last earned or Admission if no performance fee has yet been earned (High Water Mark). The performance fee will be a sum equal to 20% of such amount (if positive) and will only be payable if the Adjusted NAV at the end of a Calculation Period does not exceed 3% of the Average NAV.
