Management fee is 0.55% of net assets up to GBP 800m and 0.45% thereafter. Fees are charged quarterly in arrears. The Performance fee is calculated as 15% of the outperformance above the Company benchmark. The performance fee calculation includes a hurdle rate of 1.0% over benchmark before any performance fee can be earned. The upper limit for the total fee (including management fee) is 2.0% of NAV of the Company as at the last day of relevant calculation period. The agreement is terminable on six months’ notice.

The Manager may also be eligible to receive a performance related fee. The rate will be 15% (and only after meeting the 1% hurdle) of the positive difference between the average annual NAV total return and the average annual total return of the benchmark measured over a rolling three year period. The upper limit on the total fee, including the base fee and any performance fee, for any given accounting year will be 2% of the income inclusive NAV of the Company.
