Management agreement
The Investment Manager will be entitled to an annual management fee (exclusive of value added tax, which will be added where applicable), payable quarterly in arrears and calculated at the rate of: 1.3% p.a. of the NAV in respect of the NAV of up to, and including, USD 700 m; 1.1%. p.a. of the NAV in respect of the NAV between USD 700 m and up to and including USD 2 b; and 1.0%. p.a. of the NAV in respect of the NAV in excess of USD 2 b, in each case based on the NAV on the last Business Day of the relevant quarter (the ?Management Fee?).
