PDMR Transfer of Shares
Octopus Renewables Infrastructure Trust plc announces that Philip Austin, Chairman of the Company, has transferred 89,323 ordinary shares of 1 penny each in the capital of the Company ("Ordinary Shares") from his sole account to an account jointly held with his wife, Mrs J Austin. Following the transfer, the aggregate shareholding of Philip Austin and persons closely associated with him is unchanged.
On 19 November 2019, in connection with the Company's initial public offering, all of the directors of the Company apart from Elaina Elzinga who is a US Person (the "Directors"), the Company and Peel Hunt LLP entered into a lock-in deed relating to the Ordinary Shares pursuant to which the Directors agreed that they would not sell, grant options over or otherwise dispose of any interest in any Ordinary Shares acquired by them in satisfaction of their entitlement to receive directors' fees (save in certain circumstances) prior to the third anniversary of the date of acquisition of the relevant Ordinary Shares. The Company and Peel Hunt have agreed to waive the Lock-in Deed to enable Mr Austin to make the transfer detailed above.
