Management agreement
Under the terms of the Investment Management Agreement, the Investment Manager will be entitled to an annual fee (exclusive of VAT, which shall be added where applicable) of: 0.9% on the net asset value excluding cash or cash equivalent assets up to and including USD 650m; 0.8% on the net asset value excluding cash or cash equivalent assets exceeding USD 650m up to and including USD 1.3bn; and 0.7% on the net asset value excluding cash or cash equivalent assets exceeding USD 1.3bn. Management fees are calculated and payable quarterly. No performance fee. The Agreement may be terminated by either the Company or the Investment Manager on not less than six months' notice to the other party.
