Results of AGM

 

KKV Secured Loan Fund Limited (the "Company") is pleased to announce that at the Annual General Meeting (the "AGM") held at 11:00 GMT today, the Ordinary Class Meeting held at 11:05 GMT today and the C Class Meeting at 11:10 GMT today, all of the resolutions proposed were duly passed. 

 

Further information on the votes cast on each resolution will be available on the Company's website shortly.

 

The Board notes the votes against resolution 6 and 7, being 27.47% and 27.05%, respectively, of those voting. The Board believes that the incentive arrangements will be important for hiring and retaining employees and consultants for the realisation of the Company's portfolio while providing a lower cost solution than alternative options. Considerable work remains to complete the realisation programme and the incentive arrangements are designed to align the interests of the Board, employees and consultants with the interests of shareholders and ensure that those involved in the wind-down are remunerated for the work undertaken. The Board is pleased that the majority of shareholders supported the proposals, however, it will seek to engage with those shareholders that voted against resolutions 6 and 7 to understand their concerns and will provide a further update in due course.
