Management agreement
The Manager is entitled to a base fee of 1.2% p.a.of the GAV, 1.0% p.a. where GAV is between GBP 750m and GBP 1.5bn, 0.9% p.a. where GAV is between GBP 1.5bn and GBP 2.75bn and 0.8% p.a. where GAV exceeds GBP 2.75bn. The investment advisory agreement may be terminated by either party giving to the other 5 years’ notice of termination, expiring at any time after 15 years from the date of the investment advisory agreement. The administrator is entitled to an annual fee from the company equal to 0.01% of the NAV of the company p.a., subject to a minimum of GBP 10,000 p.a., plus a fee for accounting on a time spent basis subject to a minimum of GBP 10,000 p.a. and capped at a maximum of GBP 35,000 p.a. plus a fee for company secretarial services of GBP 12,500 p.a. subject to a time cost override.
