Shareholders in Edinburgh Worldwide Investment Trust need to act quickly if they want to have a say on Saba’s proposal to install three directors on to the board of the trust, which would effectively give Saba control over its future. Voting deadlines on major platforms are as early as Friday 24 April (see table of deadlines below).

This is a make-or-break vote for Edinburgh Worldwide. If shareholders don’t want Saba taking over their trust they need to vote for the existing board and against the three Saba nominated directors. Shareholders need to act swiftly to protect their investment.

Richard Stone, Chief Executive of the Association of Investment Companies (AIC)

Richard Stone, Chief Executive of the Association of Investment Companies (AIC), said: “This is a make-or-break vote for Edinburgh Worldwide. If shareholders don’t want Saba taking over their trust they need to vote for the existing board and against the three Saba nominated directors. Shareholders need to act swiftly to protect their investment.”

Filling out the voting form correctly

If shareholders want the trust to continue in its current form, it is vital that they vote FOR all 13 of the board’s proposals, then specifically tick the boxes AGAINST the Saba nominated appointments of Gabriel Gliksberg, Jassen Trenkow and Michael Joseph.

Richard Stone, Chief Executive of the Association of Investment Companies (AIC), added: “Given that the trust needs a record turnout of around 75% to have a chance of defeating Saba’s proposals, every single vote counts. I know that this may be the fourth time that shareholders will have been asked to vote about the future of this trust, but it is vital every shareholder has their say.

“This is not normal activism. Saba is riding roughshod over the expressed wishes of shareholders who have rejected its proposals in previous votes. The Listing Rules need to be changed to prevent potential conflicts of interest and better protect the rights of all shareholders.”
