October 2011 - Board diversity

This handbook has been updated to incorporate the latest changes to the UK Corporate Governance Code in relation to board diversity.  The new best practice recommendations are:

  • the section of the annual report describing the work of the nomination committee should include "a description of the board's policy on diversity, including gender, any measurable objectives it has set for implementing the policy, and progress on achieving the objectives" (code provision B.2.4)
  • the evaluation of the board should "consider the balance of skills, experience, independence and  knowledge of the company on the board, its diversity, including gender, how the board works together as a unit, and other factors relevant to its effectiveness" (supporting principle B.6).

The AIC Code will be updated to incorporate these, and other expected changes, to the UK Code in 2012.
